Terms of Use

These general terms of use (hereinafter the "Terms") are concluded between GetBill company, hereinafter referred to as "We" or "GetBill" or "the Provider", and the user of the service, hereinafter referred to as "You" or "the User" or "the Client". GetBill is a debt collection orchestration tool including AI telephone calls to individual and corporate debtors, used by creditor companies. These Terms, the Privacy Policy and the General Sales Conditions constitute the entirety of agreements between you and us concerning access to and use of the Service and cancel and replace all communications, offers, proposals or correspondence, verbal or written, prior between you and us.

These Terms are intended to define the provisions applicable to any use of our Services, including access to the Services and their use by a user. Use of the Service entails unreserved acceptance of the Terms. If you do not accept these Terms, you cannot use the Services we offer and you have the option to leave the website immediately.

- **Services**: designates all the functionalities and services provided by GetBill, including the debt collection orchestration tool including AI telephone calls. - **User** or **Client**: designates any natural or legal person using GetBill Services. - **Debtor**: designates any natural or legal person receiving collections orchestrated via GetBill. - **AI Call**: designates automated telephone calls generated by GetBill's artificial intelligence. - **Data**: designates all information and content provided by the User and processed by GetBill. - **Platform**: designates the web and/or mobile interface allowing access to GetBill Services.

We provide our best efforts to maintain the Service accessible 7 days a week, 24 hours a day. We strive, reasonably and diligently, to maintain the security and operational integrity of the Service by adopting security measures adapted to the nature of the data and the risks presented by its activity. We reserve the possibility to interrupt, temporarily suspend or modify without notice access to all or part of the Service, in order to ensure its maintenance, upgrade or for any other reasons, particularly technical, without these maneuvers giving rise to any obligation or compensation. In general, users will be informed in advance.

Creating an account involves your identification. Access to your account is reserved to you after identification using your username and password that you will have freely determined. When creating this account and throughout your registration, you undertake to provide accurate, complete and up-to-date information. You remain solely responsible for the information stored in your account. You can add, modify or remove them at any time.

The Client is entirely responsible for managing User accounts and User identifiers and passwords. The Client, and the Users for whom the Client is responsible, undertake to keep identifiers and passwords strictly confidential and to respect the security instructions communicated by GetBill. The Client undertakes to immediately inform GetBill of any fraudulent use and any risk of such use so that GetBill can take the necessary measures. The Client undertakes to remove any access to an employee User as soon as their employment contract ends or to a service provider User as soon as their mission ends.

By accessing, visiting or using the Service, you guarantee and certify that you: - Have the legal capacity to engage in this contractual relationship; - Have read and approved these Terms and the Privacy Policy; - Will be responsible for any use that will be made of the Service, by yourself or by any person using your credentials.

**IMPORTANT: USER LIABILITY CLAUSE** As a User of GetBill Services, you acknowledge and expressly accept that: 1. You are solely responsible for compliance with all applicable laws and regulations regarding debt collection, including but not limited to: - Legal hours for calling debtors - Content of messages sent to debtors - Frequency of collections - Respect for the dignity and rights of debtors - Truthfulness and accuracy of information communicated to debtors 2. GetBill only provides a technical tool for collection orchestration and AI calls, but cannot under any circumstances be held responsible: - For the use you make of this tool - For your non-compliance with applicable regulations - For legal, financial or reputational consequences resulting from your non-compliant use of the Services 3. You undertake to configure GetBill Services (including call schedules, message content, and collection frequency) in compliance with applicable regulations. 4. You undertake to indemnify and hold GetBill harmless from any liability in case of claim, prosecution, fine or sanction resulting from your non-compliance with applicable regulations regarding debt collection.

The Client is solely responsible for: - The use they make of the Services - The purposes for which they use them - The use of results provided by the Services - The data they integrate into the Services or transmit to GetBill The Client undertakes to use the Services made available by GetBill only for lawful purposes, in accordance with the law, current regulations, public order and good morals. They undertake to pass on this obligation to any User of the Services. The Client also undertakes not to use the Services for the purpose of hindering or altering their operation, particularly by congesting them, voluntarily or involuntarily, through untimely transfer of content, outside the planned use cases.

The information you provide cannot, without this list being exhaustive: - Be false, inaccurate or misleading - Be defamatory, illegally threatening or harassing - Be obscene, contrary to public order and good morals - Include attacks or insinuations based on race, beliefs, ethnic origins, gender or sexual orientation - Contain viruses or any other computer program intended to harm - Infringe the rights of third parties

Regarding the services we provide, we are only bound by an obligation of means; we do not support any obligation of result of any kind. We disclaim in principle any liability relating to damages, material or immaterial, resulting from the use or non-use of the Services, or the use of erroneous and incomplete information, insofar as no intentional error, or due to gross negligence, can be attributed to us.

Many factors beyond our control can interfere with the operation of the Service. Therefore, we do not guarantee continuous, uninterrupted or secure access to our Services. We can never be held responsible for possible damages (direct or indirect) or temporary or permanent incident that would be caused to your data or computer equipment during your access to the Service or during the visit to your account or generally during the transmission of files and software that make up the Service. We are not responsible for fraudulent use of our broadcasting means and disclaim any responsibility in case of intrusion into our computer systems and data theft, it being understood that we implement all useful means to prevent such illegal intrusions.

Within the legal limits set, we are not liable for damages you would suffer, related to force majeure or any commercial prejudice, loss of clientele, loss of brand image, commercial trouble or any other special, incidental or indirect damage arising from or in connection with the Service or these Terms. In particular, GetBill cannot under any circumstances be held responsible: - For the consequences of the Client's non-compliance with applicable regulations regarding debt collection - For the use of Services for purposes not in accordance with their destination - For content and messages defined and configured by the Client - For call schedules defined by the Client - For the quality of data provided by the Client

GetBill holds the intellectual property rights allowing it to grant the Client the right to use the Services in accordance with these Terms. The Client acknowledges that the Contract does not confer any property rights on these elements. Making the Services available under the conditions provided in the Contract cannot be analyzed as the transfer of any intellectual property right for the benefit of the Client, within the meaning of the French Intellectual Property Code. The Client cannot under any circumstances make the Services available to an unauthorized third party, and strictly prohibits any other use outside the subject of this Contract, in particular any reproduction, adaptation, modification, representation, translation, arrangement, distribution, decompilation, without this list being limiting. The intellectual property elements made available to GetBill by the Client for the execution of the Services remain the exclusive property of the Client.

The Parties acknowledge the confidential nature of all information exchanged between them during the use of the Services and undertake to keep them confidential. Consequently, the Parties expressly undertake: - To respect the confidential nature of the information and/or documents of the other Party - To use this information and/or documents only for the realization of the Services - To make no copy, of any kind whatsoever, of confidential information and/or documents - To return or destroy all this information and documents at the end of the Contract and/or at the first request of the other Party This confidentiality obligation will apply throughout the duration of the Contract and will survive for a period of five years from the end thereof for any reason whatsoever.

GetBill is committed to complying with applicable personal data protection regulations, particularly the General Data Protection Regulation (GDPR) and the Data Protection Act. As a user of GetBill Services, you are considered the Data Controller for the personal data of debtors that you integrate into the platform. GetBill acts as a Processor within the meaning of the GDPR. As such, you undertake to: - Only transmit to GetBill personal data collected lawfully - Inform data subjects about the processing of their data - Obtain, when necessary, the consent of data subjects - Respect the rights of data subjects (right of access, rectification, erasure, etc.) GetBill undertakes to: - Process data only for the purposes that are the subject of the subcontracting - Guarantee the confidentiality of processed data - Take all required security measures - Delete data at the end of the service provision. The Contract comes into effect on the date of subscription to the Services and for the duration specified at the time of subscription. GetBill reserves the right to suspend or terminate your access to the Services, without notice or compensation, in case of: - Non-compliance with these Terms - Fraudulent or abusive use of the Services - Non-payment of amounts due - Provision of erroneous information. In case of termination, whatever the cause, you will immediately lose access to the Services and your data. It is therefore your responsibility to regularly backup your data.

GetBill reserves the right to modify these Terms at any time. Modifications will take effect upon their publication on the site. It is your responsibility to regularly consult the Terms to become aware of modifications. These Terms are subject to French law. In case of dispute, French courts will have sole jurisdiction. If any of the provisions of these Terms were declared null or inapplicable under a law, regulation or following a final decision of a competent court, it would be deemed unwritten, but the other provisions would retain all their force and scope. The fact that GetBill does not avail itself at a given moment of any provision of these Terms cannot be interpreted as waiving the right to subsequently avail itself of this same provision.
